Volunteer Waivers

VOLUNTEER AGREEMENT & WAIVER OF LIABILITY
In consideration of this opportunity to volunteer, I agree to the following terms and conditions, intending to be legally bound by them:

1. I will abide by the mission, rules, regulations, policies and programs of Northshore Humane Society while I am a volunteer.

2. If I stop being a volunteer for any reason or upon Northshore Humane Society’s request at any time, I will promptly return all of Northshore Humane Society’s supplies, equipment, records, moneys, and other items in good, clean condition.

3. I assume the risks of being bitten, scratched, frightened or injured in any way by cats, kittens, dogs and puppies in connection with my volunteer work for the Northshore Humane Society. As consideration for being allowed to participate in the volunteer activities, I hereby and forever release, waive, covenant not to sue, discharge and agree to indemnify, defend and hold harmless the Northshore Humane Society, Inc. including its shareholders, managers, owners, officers, employees, directors, affiliates, insurers, representatives, successors, permitted assigns, attorneys, and agents from any and all liability for any and all claims, demands, suits, attorney fees and causes of action of any kind and whatever nature that I, my assignees, heirs, distributees, guardians, next of kin, spouse and legal representatives now have or may have in the future, arising out of or related to any loss, damage, and/or injury, including death, that may be sustained by me, or to any property belonging to me, while participating in such activity, REGARDLESS OF WHETHER SUCH LOSS, DAMAGE AND OR INJURY IS CAUSED BY THE NEGLIGENCE OR CARELESSNESS OF ANY OR ALL OF THE RELEASEES, OR FROM DANGEROUS OR DEFECTIVE PROPERTY OWNED, CONTROLLED, USED OR MAINTAINED BY THEM, OR BECAUSE OF THEIR POSSIBLE LIABILITY WITHOUT FAULT or otherwise and regardless of whether such liability arises in tort, contract, strict liability, or otherwise, to the fullest extent allowed by law.

4. I am fully aware of the risks and hazards connected with volunteer work at the Northshore Humane Society, and I am aware that participation of such activities could result in serious injury and even death. I am voluntarily participating in these activities with knowledge of the danger involved, and agree to assume any and all risks of bodily injury, death or property damage, whether those risks are known or unknown.

5. I understand and agree that Northshore Humane Society may refuse volunteer applications for any reason.

6. If I will be sheltering or providing foster care or boarding any of Northshore Humane Society’s animals in my home or business, I consent to Northshore Humane Society visiting my home or business from time to time to observe the animals and their living conditions.

7. I give Northshore Humane Society permission to publish my picture and name in any promotional materials to include, but not limited to, newsletters, websites, commercials, and other advertisements or solicitation material. No payment from Northshore Humane Society will be expected in exchange.

8. I have accurately and truthfully completed this Volunteer Agreement & Waiver of Liability.

9. Any modification to this Agreement must be in writing signed by both parties. This Agreement is binding upon Northshore Humane society, me and Northshore Humane Society’s and my respective heirs, successors, assigns, executors, and personal representatives.
NORTHSHORE HUMANE SOCIETY CONFIDENTIALITY AGREEMENT
This Confidentiality Agreement is voluntarily entered into by volunteer listed above in connection with volunteer activities performed on behalf of the Northshore Humane Society.

Recitals

A. The Company desires to utilize the volunteer services of Volunteer and Volunteer desires to perform volunteer services for the Company, which will allow Volunteer access to various trade secrets and/or confidential information belonging to Company, access to Company's customers and access to Company's employees.

B. As a condition to allowing Volunteer to provide services to Company, the Company desires that Volunteer enter into and abide by the terms of this Agreement.

THUS, Volunteer agrees as follows:

1. Confidential Information. This Agreement shall apply to all confidential and proprietary information disclosed by the Company to Volunteer orally or in writing, including information disclosed prior to the date hereof, with respect to the Company's businesses, operations, financial statements, proprietary technologies, business ideas, business plans and to all memoranda, books, papers, letters, data and other written materials and copies thereof which relate in any way to the Company's business, operations and financials (“Confidential Information”).

2. Nondisclosure. Volunteer agrees to hold the Confidential Information in strict confidence, to use it only for the purpose of providing Volunteer services, and not to disclose such Confidential Information to any third party and to use its best efforts to protect such Confidential Information.

3. Limitation of Use. In the event that the relationship between the parties is terminated for any reason, Volunteer shall not use any of the Confidential Information now or hereafter received in furtherance of its own benefit, its own business, or the business of anyone else.

4. No License. Volunteer recognizes and agrees that nothing contained in this Agreement shall be construed as granting any rights, by license or otherwise, to any Confidential Information disclosed to Volunteer.

5. Remedies. Volunteer agrees to indemnify and hold the Company harmless from any damages, loss, cost or liability (including legal fees and the cost of enforcing this indemnity) arising out of or resulting from any disclosure by Volunteer of the Confidential Information other than as expressly permitted by this Agreement. In addition, because an award of money damages (whether pursuant to the foregoing sentence or otherwise) would be inadequate for any breach of this Agreement by Volunteer, and any such breach would cause the Company irreparable harm, Volunteer also agrees that, in the event of any breach or threatened breach of this Agreement, the Company will also be entitled, without the requirement of posting a bond or other security, to equitable relief, including injunctive relief and specific performance. Such remedies will not be the exclusive remedies for any breach of this Agreement but will be in addition to all other remedies available at law or equity to the Company.

6. Miscellaneous.

(a) Severability. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provisions of this Agreement, which shall remain in full force and effect. If any of the covenants or provisions of this Agreement are determined to be unenforceable by reason of its extent, duration, scope or otherwise, then the parties contemplate that the court making such determination shall reduce such extent, duration, scope or other provision and enforce them in their reduced form for all purposes contemplated by this Agreement.

(b) Costs. Volunteer agrees that if it is held by any court of competent jurisdiction to be in violation, breach or nonperformance of any of the terms of this Agreement, then it will promptly pay to the Company all costs of such action or suit, including reasonable attorneys’ fees.

(c) Governing Law. This Agreement will be governed by the laws of the State of Louisiana without regard to conflicts-of-laws principals.

VOLUNTEER CODE OF CONDUCT AND CONFLICT OF INTEREST, ASSIGNMENT OF RIGHTS, AND DISCLOSURE POLICY
Northshore Humane Society is a 501(c)(3) nonprofit organization formed to promote, develop, educate, and otherwise further the practice of companion animal welfare and a no-kill society. This document serves as a code of conduct for volunteers in their capacity as Northshore Humane Society volunteers. Volunteers affirm their endorsement of the Code and acknowledge their commitment to uphold its principles and obligations by accepting and retaining volunteer positions.

CODE OF CONDUCT

Volunteer members of Northshore Humane Society shall at all times abide by and conform to the following code of conduct in their capacity as volunteer members.

Volunteer members must exercise a duty of care to act in a reasonable and informed manner when acting as a volunteer of Northshore Humane Society. The duty of care includes exercising what is in Northshore Humane Society’s best interest overall, irrespective of other entities with which the volunteer is affiliated or sympathetic.

Volunteer members must exercise a duty of loyalty that requires performance of duties in good faith and in the best interests of Northshore Humane Society, rather than in one’s own interests. The duty requires that all volunteers be conscious of the potential for conflicts of interest and act with candor and care in dealing with such situations that all volunteers treat as confidential all matters involving Northshore Humane Society until there has been general public disclosure.

Volunteer members must exercise a duty of obligation when they agree to serve as a Northshore Humane Society representative to external organizations or to represent Northshore Humane Society in an official capacity with individuals, members, vendors, companies, non-profit groups or other entities. The duty of obligation requires Northshore Humane Society volunteer representatives to articulate and support the decisions of Northshore Humane Society leadership irrespective of any individual interest, opinions or positions.

Volunteer members must exercise a duty of disclosure relating to involvement with other animal care organizations whether not-for-profit or otherwise. Volunteers also have a duty to disclose any felony charges, restrictions, suspensions or revocations of licenses that may negatively impact Northshore Humane Society. For good cause, and with prior notice to the member whose information is at issue, such information may be disclosed to the Board of Directors. Volunteer participation with Northshore Humane Society activities may be limited or prohibited as a result of these disclosures.

Volunteer members will exercise proper authority and good judgment in their dealings with Northshore Humane Society Staff, suppliers and the general public and will respond to the needs of Northshore Humane Society employees in a responsible, respectful and professional manner.

Retiring volunteers will, at Northshore Humane Society’s request, promptly return to Northshore Humane Society all documents, electronic and hard files, reference materials, and other property entrusted to the volunteer member for the purpose of fulfilling his or her job responsibilities. Such return will not remove the retiring volunteer member from his or her continuing obligations of confidentiality with respect to information acquired as a consequence of his or her tenure as a volunteer.

CONFLICT OF INTEREST

A conflict of interest arises whenever a volunteer’s activities are in opposition to, detract from or in some manner might become detrimental to the purpose of Northshore Humane Society.

It is the responsibility of any volunteer of Northshore Humane Society to recognize, identify and disclose actual or potential conflicts of interest they may have. Such individual shall disclose all relevant information regarding the conflict to the Director of Operations and shall remove themselves from all conflicting situations as a result. Any person disclosing potential conflicts must agree to work with Northshore Humane Society towards resolution as disclosures or disclaimers alone are not appropriate mechanisms to resolve conflicts of interest.

In addition volunteers shall:

• Avoid placing (and avoid the appearance of placing) one’s own self-interest or any third-party interest above that of Northshore Humane Society while acting as a volunteer for the organization
• Not abuse their position by improperly using their volunteer position or Northshore Humane Society’s staff, services, equipment, materials, resources, or property for their personal or their third-party gain or pleasure, and shall not represent to third parties that their authority as a volunteer extends any further than which it actually extends
• Not engage in any outside business, professional or other activities that would directly or indirectly materially adversely affect Northshore Humane Society
• Not engage in or facilitate any discriminatory or harassing behavior directed toward Northshore Humane Society staff, members, officers, directors, meeting attendees, exhibitors, advertisers, sponsors, suppliers, contractors, or others in the context of activities relating to Northshore Humane Society
• Not solicit or accept gifts, gratuities, trips, honoraria, personal property or any other item of material value form any person or entity as a direct or indirect inducement to provide special treatment to such donor with respect to matters pertaining to Northshore Humane Society without fully disclosing such items to the Director of Operations.
• Not persuade or attempt to persuade any employee of Northshore Humane Society to leave the employ of Northshore Humane Society or to become employed by a person or entity other than Northshore Humane Society.
• Not persuade or attempt to persuade any member, exhibitor, advertiser, sponsor, subscriber, supplier, contractor or any other person or entity with an actual or potential relationship to or with Northshore Humane Society to terminate, curtail or not enter into its relationship to or with Northshore Humane Society or to in any way reduce the monetary or other benefits to Northshore Humane Society of such relationship.
• Not speak negatively of a board member, employee or fellow volunteer of the organization or speak in a negative or derogatory manner about the organization in general. Should there be concerns by a volunteer relative to these issues, the concerns need to be addressed with the Director of Operations and resolved internally.

WORKS CREATED FOR NORTHSHORE HUMANE SOCIETY

Northshore Humane Society encourages the volunteers to participate in the creation and development of creative and useful works (collectively, the “Works”) in connection with their service to Northshore Humane Society. Through your participation you may either individually, through committees, and/or in conjunction with Northshore Humane Society staff and/or outside consultants participate in the creation and development of Works that are subject to copyright protection. You agree that all such Works created, in whole or in part, by you in connection with your relationship to Northshore Humane Society shall be considered specially commissioned works of Northshore Humane Society and shall be owned by Northshore Humane Society. You assign to Northshore Humane Society ownership of all right, title and interest in the Works.
